U.S. corporation and LLC formation for Dominican entrepreneurs
A Dominican entrepreneur does not need to live in the United States to own a company there. We form LLCs and corporations in all fifty states, Delaware included, and keep them compliant from our Raleigh office.
Why a U.S. company
Exporting to the United States, selling on digital platforms, receiving payments from North American customers, buying real estate or protecting an asset are usually simpler through a U.S. entity. The LLC (limited liability company) offers limited liability, great flexibility and, for foreign members, a tax treatment that can be very efficient when the company has no physical presence or employees in the country. The C corporation is the preferred form when venture capital investment or an exit is planned.
Through VSP Law, PLLC, our North Carolina firm, we form entities in any state and explain in Spanish every obligation the client assumes toward the state of formation and the Internal Revenue Service (IRS).
- Choice of state (Delaware, Wyoming, Florida, North Carolina or other) and entity type
- Formation of LLCs and corporations, and drafting of operating agreements and bylaws
- Registered agent and address in the state of formation
- Employer Identification Number (EIN) without a Social Security number
- Bank and payment processing account opening
- Annual state filings, beneficial ownership reporting where applicable and IRS forms for foreign owners (5472, 1120, 1065)
- Foreign qualification to operate in other states and licenses
- Contracts, USPTO trademarks and structuring with the client's Dominican company
Delaware and the other options
Delaware is the most recognized corporate jurisdiction in the United States for its specialized court (Court of Chancery), its case law and the flexibility of its LLC statute, and it imposes no state income tax on LLCs that do not operate in the state. Wyoming offers low cost and privacy; Florida is practical for those with business or property there; North Carolina, where our office sits, allows close support. There is no right state for everyone: we choose according to where the company will operate, who will invest in it and how its owners will be taxed.
Taxation of foreign owners
A single member LLC owned by a foreign person is disregarded for the IRS but must file Form 5472 with a pro forma Form 1120 every year, under severe penalties. If the LLC conducts an effective trade or business in the United States, its foreign owners may become subject to federal tax and withholding. We coordinate with the client's accountant in the Dominican Republic and with U.S. certified public accountants so the structure is efficient in both countries and meets its reporting obligations.
Dedicated portal: IncorporarEnEEUU.com
For Dominican and Latin American entrepreneurs who want to form a company in the United States, the firm maintains a dedicated portal, IncorporarEnEEUU.com, with Spanish language guides on choosing the state, LLC versus corporation, annual costs and IRS obligations, plus the online application to start the formation. The legal work is performed by VSP Law, PLLC from Raleigh.
